Terms and Conditions for Sale of Goods or Services
TERMS ARE NET 30. All credit cards have a 3% processing fee added at time of payment. Boss Products does accept ACH & Wire Payments. Please contact Vanessa Salazar at vanessa@bossproductsamerica.com for all banking information.
PRICES: Published pricing is confidential and subject to change without notice. Boss Products reserves the right to notify distribution of any price change via email with a thirty-day notice of change. All published pricing is the net list price FOB Schertz, Texas, excluding all taxes and surcharges.
STANDARD PAYMENT TERMS: Upon approval of credit, an authorized Distributor/OEM customer will be assigned a credit limit and discount structure. Orders for Boss Products Standard Stock items will be accepted with payment terms of NET 30 or 5% discount for prepayment before shipment. Boss Products reserves the right to charge a finance fee of 1.5% per month on any past due balance; and modify distribution discounts, payment terms and credit limits.
SPECIAL ORDERS & ENGINEERED PROJECTS: Orders will be accepted at quoted pricing. Payment terms will be 40% deposit with order, 40% due prior to shipment and 20% due within 30 days of shipment from Schertz, Texas. All other standard pricing terms apply.
ACCEPTANCE OF ORDERS ON HOLD: All orders will be accepted and acknowledged within 48 hours (2 working days) of receipt, with the earliest possible ship date. If a delayed ship date is requested, a specific (SOH) ship date must be specified during the Order Entry and acknowledgement process. 60 days from order acknowledgement is the longest time period for orders accepted with SOH status. The dollar value of orders on hold will be included as part of the distributor’s credit limit.
FREIGHT: All shipments are FOB Schertz, Texas USA, and shipped freight collect unless an alternate agreement is made via specific quote or agreement prior to order acceptance by Boss Products and the buyer. Prepaid shipments will incur a handling charge. Quick Ship Air Freight shipments will be invoiced FOB point of origin and due upon presentation of invoice.
FREIGHT DAMAGE & MISSING PARTS: Boss Products recommends that the receiving customer immediately inspects their shipment for freight damage and missing parts. All freight damage claims must be made with the freight carrier.
ORDER CANCELLATION: Orders for Boss Standard Stock items can be canceled without penalty, ONLY if written notification of cancellation is received and acknowledged a minimum of 10 days prior to scheduled shipment. Cancellation of Special Orders(Non-Stock), Engineered Projects & EcoBOSS® Systems will result in forfeiture of the required 40% deposit, plus any additional charges for work in progress, shipping expenses, etc.
RESTOCKING & RETURNS: Boss Standard Stock items may be returned if received at Boss, Schertz, Texas within 30 days of original shipment. A 25% restocking charge will apply. Items must be returned marked with an RMA number, freight pre-paid & received in its original packaging in new and resalable condition. Special Order items, EcoBOSS® and custom control panels are non-returnable. All eligible returns will require identification including an RMA approval document.
STORAGE FEES: Orders requested to be held at Boss Products beyond the scheduled ship date will be subject to Storage Fees. There will be a 5 working day grace period. Beginning on the 6th working day, a $100 storage fee will be accessed with an additional $25 per day (per pallet) accrual until the product ships. This fee will be included on the customer invoice. If order remains at Boss Products beyond 20 working days, the order will be cancelled and product will be returned to inventory
WARRANTY RETURNS: Pre-qualified Warranty Returns must be shipped freight pre-paid and include an RMA approval document. The returned item will be inspected upon its arrival at Boss, Schertz Texas. If a replacement item is required before return and inspection, a new purchase order must be placed authorizing shipment of the replacement item. The new item will be invoiced and shipped FOB point of origin. If the retuned item is determined to be under warranty and defective, it will be repaired or replaced at the seller’s discretion and returned to the buyer FOB point of origin.
WARRANTY: Boss Products, LLC warrants that the materials sold to a buyer is free from manufacturing defects at the time of shipment. Boss Products further warrants to the buyer that the product will remain free of defect for a period of 12 months of shipment on the condition that product has been maintained, installed and operated according to its intended use. Furthermore, this warranty will remain in force only as long as the following conditions are documented as being accurately applied. Installation and application in compliance of all applicable codes and standards, including National Electric Codes, NFPA recommendations & generally accepted good practice. A buyer will be responsible for remedies for defects caused by services not provided by Boss Products.
